PURPOSE

a. The purpose of this Marshall Procedural Requirements (MPR) is to establish the procedure and responsibilities for selecting, executing, and archiving the appropriate type of agreements to document Marshall Space Flight Center (MSFC) relationships with non-MSFC entities, to delineate approaches, and to provide references for policies, authorities, and procedures involved in utilizing the appropriate types of agreements, including but not limited to, Space Act Agreements (SAAs) and Enhanced Use Lease Agreements (EULs).

b. All MSFC agreements shall be effectively utilized and strategically managed.

c. Internal controls shall be established throughout the agreement process to help program and financial managers achieve desired results, and safeguard the integrity of MSFC programs. This is particularly important in processing agreements with non-NASA partners to ensure fair and consistent treatment of all non-NASA partners.

d. Rationale for entering the agreement and justification for the price charged the partner shall be adequately documented and maintained as an essential part of the agreement. The process and procedure presented in this MPR, along with those references provided, ensure adequate documentation.

e. As used in this MPR, the terms "Agreement Manager" and "Agreement Specialist" are unique to SAAs.

APPLICABILITY

a. This MPR applies to Center personnel, programs, projects, and activities, including contractors and resident agencies to the extent specified in their respective contracts or agreements. ("Contractors," for purposes of this paragraph, include contractors, grantees, Cooperative Agreement recipients, Space Act Agreement partners, or other agreement parties.)

b. This MPR applies to the Michoud Assembly Facility.

c. This MPR governs agreements between MSFC and domestic governmental and nongovernmental entities, as well as agreements with other NASA Centers. Agreements with foreign governments or entities shall be referred to NASA Headquarters (HQ) for execution unless execution authority is specifically delegated to MSFC for certain, unique agreements as documented in NPD 1050.1.
